School Improvement Club Terms & Conditions

1 Introduction

1.1 TT Education School Improvement Club membership is subject to these Terms and Conditions.

1.2 Please read these Terms and Conditions carefully. By signing up to TT Education School Improvement Club you are accepting that you agree with these Terms and Conditions.

1.3 If any of these terms should be determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country in which these terms are intended to be effective, then to the extent and within the jurisdiction in which that term is illegal, invalid or enforceable, it shall be severed and deleted from the clause concerned and the remaining terms and conditions shall survive, remain in full force and effect and continue to be binding and enforceable.

1.4 These Terms and Conditions shall be governed by and construed in accordance with English law and the English courts shall have exclusive jurisdiction for hearing any dispute arising under these Terms and Conditions.

1.5 The failure of TT Education Ltd to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision.

1.6 The section titles in these Terms and Conditions are for convenience only and have no legal or contractual effect.


2 Terms of Sale

2.1 Subscription Services

2.1.1 By subscribing to TT Education School Improvement Club, you authorise us to charge your credit card or invoice your school for that prepayment at the time of signing up. At the end of your prepaid subscription period, your subscription will automatically renew, unless you inform us with 30 days notice that you would like to cancel your subscription.

2.1.2 All services outlined in the agreement must be serviced within the subscription period and do not roll over. It is the school’s responsibility to book services with the TT Education Head Office.

2.2 Refunds and cancellations

2.2.1 Where we are unable to fulfil the subscription you have ordered for any reason, we will issue you with a refund within 7 days of your order, by crediting the card with which you paid for your order.

2.2.2 You are entitled to cancel your subscription (by letter, fax or email only) within 14 working days of order confirmation. Thereafter your subscription will be bound by our terms and conditions.

2.3 Authorisation

2.3.1 By joining the TT Education School Improvement Club, by whatever means, you are acknowledging that you have received authorisation for this expenditure from the relevant person at your institution.

2.4 Legal interpretation

2.4.1 The materials and training provided by TT Education Ltd cannot be relied upon for legal interpretation.  Neither TT Education Ltd nor its employees, trainers or consultants can accept responsibility for delegates’ actions, or those of other people reading the course notes or interpreting the training in litigation, or responsibility for any loss incurred as a result of relying on the training or the training notes.


3 Privacy Policy, Security and Data Protection Policy

3.1 TT Education Ltd conforms to the UK Data Protection Act 1998.

3.2 When you provide personally identifiable information to TT Education Ltd, we may use it to provide you with ongoing information about TT Education Ltd's products and services. TT Education Ltd will not rent, sell or lease this personally identifiable information to other companies or individuals. You have a right to access, rectify, modify and delete any data referring to you. In order to exercise this right please contact us immediately.

3.3 We follow strict security procedures in the storage and disclosure of information that you have supplied to us. TT Education Ltd is committed to protecting and respecting your privacy. We do not sell, trade, or rent your personal information to others. We do not share our mailing lists with any third parties, including advertisers or partners.

3.4 In common with most organisations, we share aggregate information about our users with our business partners and other third parties. This information shows user activity as a whole rather than on an individual basis and cannot be used to individually identify you.

3.5 TT Education Ltd is aware that privacy and security concerns are a major issue for you when purchasing online. TT Education Ltd takes every effort to ensure the credit card information you transmit to TT Education Ltd is kept both secure and strictly confidential, but unfortunately the transmission of information via the internet is not completely secure. Although we will do our best to protect your personal data, we cannot guarantee the security of your data transmitted to our website; and transmission is at your own risk. Once we have received your information, we will use strict procedures and security features to try to prevent unauthorised access.

3.6 We do not store credit card details nor do we share customer details with any 3rd parties


4 CPD courses

4.1 Cancellation

4.1.1 All TT Education School Improvement Club course bookings are non-cancellable. There will be no charge if you wish to change the details of a delegate on a course.

4.1.2 TT Education Ltd reserves the right to reschedule course dates. In the event that TT Education Ltd changes the date of a course, the delegate will be informed via email.

4.1.3 A delegate may transfer from one course to another by requesting such a transfer in writing to at least 30 days prior to the original course taking place. A transfer fee of £75 plus VAT will be payable.

4.2 Changes to Content

4.2.1 TT Education Ltd’s courses are frequently updated and enhanced and we reserve the right to alter any of the courses’ content without prior notice.  TT Education Ltd will make every effort to provide the services as specified, but, if for any reason beyond its control it fails to do so, neither TT Education Ltd nor its directors or employees shall be liable for any resulting loss or damage.  In such circumstances, delegates will be offered an alternative date or a credit note.


5 In-school support

5.1 TT Education will always endeavour to accommodate specific date requests from schools, although cannot guarantee specific dates.

5.2 Date changes: Once specific dates have been agreed, the date may only be changed in extenuating circumstances, subject to availability. Changes cannot be made within 30 days of the event date. In the event of a change of date, this will incur an administration fee of £200.00.

5.3 An additional charge of £250 would apply for an in-school support day on a peak date. TT Education will notify schools of peak dates, at the point of date setting or at the school’s request.

5.4 The twilight included in your membership must be taken on the same date as the consultancy day. If a different date is required, the in-school twilight can be substituted for a virtual twilight upon the school’s request.

5.5 Travel and accommodation expenses are included in your TT Education School Improvement Club membership. However, in the event you request a specialist and the required travel is more than 1.5 hours, TT Education reserves the right to charge reasonable travel and accommodation expenses. Mileage is charged at 45p per mile from the consultant’s home to, and from, the event location. You will be invoiced for this as soon as possible after the consultancy, with payment due within 14 days.

5.6 Changes to Content: TT Education’s In-School Support Days, INSET Days, Twilight Sessions, Consultancy Services, Courses and Workshops are frequently updated and enhanced and we reserve the right to alter any of the courses’ content without prior notice. TT Education will make every effort to provide the services as specified, but, if for any reason beyond its control it fails to do so, neither TT Education nor its Directors or employees shall be liable for any resulting loss or damage. In such circumstances, schools will be offered an alternative date or a credit note.

5.7 Changes to Focus: If you change the focus of a day, TT Education reserve the right to charge an administration fee. Bespoke changes to a standard course (where a consultant needs to prepare the course to suit your requirements) or consultancy, may also be liable to additional fees. We will always inform you of these costs and seek your written agreement before proceeding.


6 Digital Downloads

6.1 Access to Digital Downloads

6.1.1 Whilst TT Education Ltd endeavours to ensure that the Digital Downloads are available 24 hours a day, TT Education Ltd will not be liable if for any reason they are unavailable at any time or for any period. TT Education Ltd does not guarantee the functions contained in the downloads will be uninterrupted or error-free, that this will be free of viruses or other harmful components, or that this cannot be tampered with by third parties.

6.1.2 Access to the digital downloads may be suspended temporarily, without notice. TT Education Ltd shall not be liable to the user or any third party for the suspension of the licence.

6.2 Information and Links on the Digital Downloads

6.2.1 Whilst TT Education Ltd endeavours to ensure that the information on our digital downloads is correct, no warranty, express or implied, is given as to its accuracy and TT Education Ltd does not accept any liability for error or omission.

6.2.2 Our Digital Downloads may from time to time contain links to third party websites which are controlled and operated by parties other than TT Education Ltd. TT Education Ltd is not responsible for the contents of any linked sites. Access by you to a linked portal is at your own risk. Third parties are responsible for ensuring that materials submitted for inclusion on this portal comply with national and foreign law. We cannot guarantee the accuracy or compliance of this material and expressly disclaim any responsibility for error, omission or inaccuracy in the material.

6.2.3 The inclusion of any link to a third party site or of advertising of third party goods or services on our downloads does not imply any endorsement by TT Education Ltd of the linked websites or of any advertised goods or services.

6.2.4 We welcome the reporting of any errors found in our Digital Downloads or information relating to products and services. Please get in touch using the Contact Us form on our website.

6.3 Limitation and Exclusion of TT Education Ltd.'s Liability

6.3.1 TT Education Ltd shall not be liable for any damages (including, without limitation, damages for loss of business or loss of profits) arising in contract, tort or otherwise from the use of or inability to use our Digital Downloads, or any material contained in it, or from any action or decision taken as a result of using our downloads or any such material.

6.3.2 Nothing in these Terms and Conditions shall limit TT Education Ltd's liability for death or personal injury caused by its negligence. These Terms and Conditions do not affect or prejudice your statutory rights.

6.3.3 TT Education Ltd's entire liability to you in contract, tort (including negligence) or otherwise in relation to this portal shall be limited to £1,000.00 for any one incident or series of related incidents.

6.3.4 Save as expressly set out in these Terms and Conditions all warranties, conditions, undertakings, terms, and obligations implied by statute, common law, usage, course of dealing or otherwise, are excluded to the fullest extent permitted by law.

6.3.5 Users of any TT Education Ltd product purchased from TT Education Ltd are solely responsible for their own safety, both physical and digital.

6.4 Use by you of our Digital Downloads

6.4.1 You must use our Digital Downloads in a lawful manner consistent with all applicable laws and regulations.

6.4.2 You must not use our Digital Downloads or any connected service to: to send, receive, upload, download, store, use, distribute or publish any material that is offensive, defamatory, obscene, or which breaches any other person's intellectual property rights; to send unsolicited emails or messages or to collect or store personal data about other users of the digital downloads without their consent or for any other purpose in breach of the Data Protection Act 1998; to carry out any activities to obtain lists of users; to use or transmit through our Digital Downloads any material that contains viruses or use any software designed to interrupt the functionality of any computer software or hardware or this portal;

6.4.3 You agree to indemnify TT Education Ltd and hold TT Education Ltd harmless against any claims, and reasonable costs or expenses resulting from your use of our digital downloads or related services in breach of clause 6.

6.4.4 Use by you of Digital Downloads in breach of this clause 6 entitles TT Education Ltd to terminate immediately your licence to use our Digital Downloads.

6.5 Proprietary Rights

6.5.1 You acknowledge and agree that the entire content, design and the selection and arrangement of the content and material contained in our Digital Downloads, including but not limited to text, software (including applets), music, sound, photographs, graphics, video, page layout, are protected by copyrights, trade marks, service marks, patents, or other proprietary rights and laws. You acknowledge and agree that you are permitted to use this material and information only on the bases expressly set out below and any use such as but not limited to: copying, reproducing, transmitting, distributing, or creating derivative works of such content or information is prohibited without the prior express written authorisation of TT Education Ltd.

6.5.2 You acknowledge that the copyright, design right and all other intellectual property rights in any product purchased from TT Education Ltd and any other documents or items prepared or produced in relation to the TT Education Ltd belong to us absolutely. The names, images and logos identifying TT Education Ltd are propriety marks of TT Education Ltd.

6.5.3 You are permitted to print and use our Digital Downloads only on the following bases: use of documents and related graphics contained within the downloads, the downloads themselves are for personal non-commercial use within the licensed school  only; any copies of these pages saved to disk or to any other storage medium may only be used for subsequent viewing purposes or to print extracts for personal use within the licensed school only; no part of the content contained within our Digital Downloads may be reproduced or stored in any other website or included in any public or private electronic retrieval system or service without TT Education Ltd's prior written permission.

6.5.4 The copying, reproducing, transmitting, distributing, or creating of derivative works of the content or information contained in this portal or from resources downloaded or created from our Digital Downloads are prohibited without the prior express written authorisation of TT Education Ltd

6.5.5 Any rights not expressly granted in these Terms and Conditions are reserved to TT Education Ltd.

6.6 Your Licence

6.6.1 On termination of the licence for any reason, TT Education reserve the right to withdraw all rights granted under the licence and the you shall discontinue the use of all material relating to the digital download across the whole organisation.

6.7 Registration

6.7.1 Only members of staff working in a school who have purchased a licence, may use and access the digital downloads.

By accessing and using our digital downloads , you agree that:

(i) you will not do anything which would assist anyone who is not employed by a licensed school to gain access to the digital downloads; and

(iii) you will seek to modify the downloads; nor will you seek to pass off the content as your own.

You agree to notify us immediately if you become aware of any unauthorised use of the digital downloads licensed to your school or organisation.

If, for any reason, we believe that you have not complied with these terms and conditions, we may, at our sole discretion, cancel your license immediately and without prior notice.

We may terminate your license, at our sole discretion, by emailing you at the address you provided during your initial order, stating that the agreement has terminated.

6.8 Reasonableness

By using our digital download, you agree that the exclusions and limitations of liability set out in this disclaimer are reasonable. If you do not think they are reasonable, you must not use the downloads.

7 Webinars

7.1 Webinar attendance is for use by the purchasing school only and registration information should not be forwarded on to third parties. Similarly, the materials and replay of webinars are for use by the purchasing school only and should not be forwarded on to third parties.

7.2 Responsibility for the confidentiality and security of webinar registration information and event materials issued by TT Education lies with the registrant. If you believe that a third party has obtained details in an unauthorised manner, please promptly notify TT Education.

7.3 The purchasing school must ensure that each person having access to the webinar: (a) is an Authorised User; and (b) is using those Services only in accordance with these Terms & Conditions.

7.4 members of staff should access the system using their school email addresses wherever possible, you are responsible for ensuring that this data you provide to us is accurate. 

7.5 if the email addresses provided by you for members of staff are personal email addresses, by providing them to us you confirm that you have the users express permission to use their personal data and email address and that they accept the terms of use within our privacy policy as specified under section 3.

7.6 Unless otherwise indicated, TT Education owns copyright for the content presented in the webinar. Webinar events and recordings are to be viewed by the registrant only; the content must under no circumstances be recorded or reproduced. Any breach of copyright, including recording the presentation or any unauthorized use of the material may lead to legal action.

7.7 Webinars may contain links to other websites over which TT Education has no control. TT Education makes no representations about the accuracy of information contained on those websites. We are not liable for the content on those websites.

7.8 TT Education will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by events outside our reasonable control (Force Majeure Event).

7.9 TT Education will have no liability if you cannot access the online seminar due to firewalls, other hardware or software issues within your organisation or failure of any system by you. It is your responsibility to check that the link works on your system.

7.10 TT Education reserves the right to vary or cancel a webinar where the occasion necessitates and accepts no liability if, for whatever reason, the course does not take place.

8 Additional services and discounts

8.1 As a member of the TT Education School Improvement Club, you are entitled to discounts on other TT Education products and services. Discounts cannot be combined with any other special offer.

8.2 All additional bookings and purchases will be subject to our standard Terms & Conditions, which can be found on our website here.

8.3 All additional in-school support, including but not limited to INSET Days, Consultancy, and Twilights, will incur reasonable travel and accommodation expenses. Mileage is charged at 45p per mile from the consultant’s home to, and from, the event location. You will be invoiced for this as soon as possible after the event, with payment due within 14 days.
